Terms of Service
Effective October 19, 2026
These Terms of Service (the "Terms") are an agreement between Contour Metrics ("Contour", "we", "us") and the business that signs up for Contour ("Customer", "you"). They govern your use of the Contour app, website and related services (the "Service"). If you accept these Terms for a business, you confirm you have authority to bind it. If you have a separate signed agreement with us, that agreement controls where it conflicts with these Terms.
1. The Service
Contour reads reports and data from your practice's software and accounts and turns them into figures, reports and recommendations about your business. We may improve, change or add features over time. If we remove a feature you rely on in a material way, we will tell you in advance.
2. Accounts
- You are responsible for the people you invite and for activity under your account.
- Keep login details secure and tell us promptly about any unauthorized use.
- Information you give us when signing up must be accurate.
3. Your data
- You own your data. Data you upload or authorize us to retrieve ("Customer Data") remains yours.
- Our use of it. You grant us permission to host, process and analyze Customer Data only to provide, support, secure and improve the Service for you, as described in our Privacy Policy.
- Your rights to share it. You confirm you have the rights and any consents needed to share Customer Data with us, including information about your own clients.
- Health information. If you are subject to HIPAA and Customer Data includes protected health information, you agree not to send us that information until we have signed a business associate agreement with you.
- Aggregate data. We may use data that has been aggregated and de-identified, so that it cannot identify you, your practice or any person, to measure and improve the Service.
4. Connected accounts
You may connect accounts such as QuickBooks or your practice management software. By connecting one, you authorize us to access and retrieve data from it on your behalf, read-only, to provide the Service. Your use of those services stays subject to their own terms, and we are not responsible for them. You can disconnect at any time, and we will stop retrieving data from that account.
5. Text messaging
If you use Contour to send text messages to your clients, you are responsible for getting and keeping each recipient's consent, honoring opt-out requests, and following applicable law, including the Telephone Consumer Protection Act and carrier rules.
6. Acceptable use
You agree not to:
- Use the Service for anything unlawful, or to send spam or messages people have not agreed to receive.
- Upload data you have no right to share, or malicious code.
- Try to access other customers' data or break the Service's security.
- Reverse engineer, copy or resell the Service, or use it to build a competing product.
7. Figures and recommendations
Contour's figures depend on the data you provide and on your software's reports. We work hard to make them accurate and to show where a figure rests on incomplete data, but we cannot guarantee that every figure is correct or complete. Recommendations are information to support your decisions, not financial, tax, legal or medical advice. You remain responsible for your business decisions and should check important figures against your own records.
8. Fees
Fees are set out in your order or plan. Unless agreed otherwise, fees are billed in advance, are not refundable, and exclude taxes. We may change fees on 30 days' notice, effective at your next billing period. If an invoice is unpaid more than 30 days after its due date, we may suspend the Service after giving you notice.
9. Term and termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or end your access if you materially breach these Terms and do not fix the breach within 15 days of notice, or immediately if needed to prevent harm to the Service or others. After your account ends, you may request an export of your Customer Data within 30 days, after which we will delete it as described in our Privacy Policy.
10. Our property
We own the Service, including its software, design and content, other than your Customer Data. If you send us feedback, we may use it without obligation to you.
11. Confidentiality
Each of us will keep the other's non-public information confidential and use it only to perform under these Terms, except where disclosure is required by law.
12. Disclaimer
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
13. Limitation of liability
To the extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Each party's total liability arising out of these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations or to either party's indemnity obligations.
14. Indemnity
You will defend and indemnify Contour against third-party claims arising from Customer Data you provide without the necessary rights or consents, or from your messages to your clients. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property.
15. Changes to these Terms
We may update these Terms. We will give you at least 30 days' notice of material changes by email or in the Service. Continuing to use the Service after changes take effect means you accept them.
16. General
- These Terms are governed by the laws of the State of Illinois, and disputes will be heard in the state or federal courts located in Cook County, Illinois.
- Neither party may assign these Terms without the other's consent, except in a merger, acquisition or sale of substantially all assets.
- If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
- These Terms, with the Privacy Policy and any order, are the entire agreement between us about the Service.
